in Wiesbaden

Wiesbaden Business School works closely with business and administration to promote practice-oriented training and science transfer. The Business School supports this cooperation through appropriate measures, contacts and financial means within the scope of its possibilities. Companies, private individuals, the City of Wiesbaden and the Chamber of Industry and Commerce have been involved in this for more than 40 years.
Inspired by several years of case-by-case cooperation between the Wiesbaden Business School and individual companies from business and administration, a support association was founded. This is supported by business and administration in the Wiesbaden area, the Chamber of Industry and Commerce and the City of Wiesbaden itself.
The society was registered as a registered association at the beginning of 1979 and has the following objectives:
- The society promotes cooperation between business and administration with the higher education institution.
- The society aims to provide a discussion platform for business management topics and current issues from practical experience.
- The society also aims to materially promote the practice-oriented training of business people at the higher education institution.
- In the long term, a concept will be developed to establish a research community.
Every year, the Betriebswirtschaftliche Gesellschaft Wiesbaden e.V. awards a prize for special academic achievements, which is endowed with 2,500 euros.
All bachelor's and master's degree graduates of Wiesbaden Business School are invited to apply for this award:
- Application deadline for graduates in the winter semester is March 15.
- Application deadline for graduates in the summer semester is August 31.
The prize is awarded annually in spring and the BGW is looking forward to receiving a large number of applications.

§ 1 Name of the association | The association bears the name "Betriebswirtschaftliche Gesellschaft Wiesbaden". | |
§ 2 Registered office of the association | The Association shall have its registered office in Wiesbaden and shall be entered in the Register of Associations of the Wiesbaden Local Court as an association with legal capacity. | |
§ 3 Purpose of the association | The purpose of the association is the promotion of practice-oriented business administration science through its own research projects in cooperation with the Wiesbaden Business School of the Hochschule RheinMain. The results (studies and reviewers) are made available to the general public through publication. | |
Furthermore, the association promotes practice-oriented academic teaching and training as well as research in the field of business administration, also by providing funds for the Wiesbaden Business School. | ||
§ 4 Non-profit status | The Association pursues its purpose exclusively and directly on a non-profit basis within the meaning of the provisions of the third section of the AO 1977 of March 16, 1976. It is selflessly active and does not primarily pursue its own economic interests. The organs of the association work exclusively on a voluntary basis. Recognition notice from the Wiesbaden tax office dated June 30, 1987. | |
§ 5 Association year | The association year is the calendar year. | |
§ 6 Membership | a) | Natural and legal persons, commercial partnerships and other associations of persons may become members. |
b) | Membership is acquired by means of a written declaration of membership (application) and confirmation of membership issued by the Chairman of the Board of Directors on behalf of the Association. | |
c) | Membership shall expire upon voluntary resignation, cessation of payment of contributions despite reminders, dissolution of the legal entity or commercial partnership or association of persons, death of the natural person and exclusion. | |
d) | Resignation must be declared with a quarterly deadline to the end of the respective quarter of the association year. Members may be expelled if they have acted contrary to the interests of the Association or if there is another important reason. | |
§ 7 Financing of the association's tasks | The association finances its tasks through contributions and donations from members as well as donations from non-members. | |
§ 8 Use of funds | a) | The Association's funds may only be used for the purposes set out in the Articles of Association. Members shall not receive any benefits from the Association's funds. |
b) | No person may benefit from expenses that are alien to the purpose of the association or from disproportionately high remuneration. | |
c) | The Executive Board shall decide on the use of funds, taking into account the recommendations of the General Meeting and the Wiesbaden Business School. All teaching and research areas of the Wiesbaden Business School shall be given appropriate consideration. | |
d) | Funds are only allocated for specific purposes. The Executive Board shall monitor the use of funds in an appropriate manner. | |
§ 9 Organs of the association | The bodies of the Association are the General Meeting and the Board of Directors. | |
§ 10 General meeting | a) | At least one ordinary general meeting shall be held each year. |
b) | An extraordinary general meeting must be convened if ten percent of the members request this in writing, stating reasons. The Executive Board may also convene an extraordinary general meeting if the interests of the association so require. | |
c) | A General Meeting shall be convened by the Chairman of the Board of Directors at least 14 days in advance in writing and by simple post, stating the agenda. | |
d) | The Chairman (or another member of the Executive Board if he is unable to attend) shall chair the meeting. | |
e) | The agenda may be amended by the General Meeting by majority vote at the beginning of the meeting. | |
f) | Amendments to the Articles of Association may not be added to the agenda retrospectively. | |
g) | Every properly convened General Meeting shall constitute a quorum regardless of the number of members present. A simple majority of votes shall be decisive. In the event of a tie, the chairman of the meeting has the casting vote. Three quarters of the votes cast are required to amend the Articles of Association. | |
h) | The General Meeting elects the Chairman of the Board of Directors for a term of three years and, at his proposal, his deputy and three other members. | |
i) | At the end of the Association's year, the Executive Board submits a report to the General Meeting. In particular, this report shall contain the cash report, the report on the use of funds and a proposal on the future specialization of the Association's work. | |
k) | The General Meeting decides on amendments to the Articles of Association and on the amount of membership fees. | |
l) | Written minutes shall be kept of the General Meeting (proceedings, negotiations, voting results, etc.). A member of the Executive Board shall take the minutes. The minutes shall be signed by the chairman of the meeting and the secretary. | |
§ 11 Executive Board | The Executive Board consists of the Chairman of the Executive Board, a Deputy Chairman and three other elected members of the Executive Board, as well as three members "ex officio": - the Lord Mayor of the City of Wiesbaden - the President of the Chamber of Industry and Commerce - the acting Dean of the Wiesbaden Business School of the RheinMain University of Applied Sciences. The members of the Executive Board "ex officio" may delegate their mandate to a suitable person from their sphere of activity. | |
§ 12 Management management | a) | The Executive Board within the meaning of Section 26 of the German Civil Code (BGB) consists of the Chairman of the Executive Board and his deputy, each together with another elected member of the Executive Board. They represent the association in and out of court. |
b) | The Executive Board shall decide on the allocation of responsibilities and tasks within the Executive Board and on the scope of each Executive Board member's authority to act and represent the Association at the proposal of the Chairman and immediately after each election. The Finance department must be assigned to a member of the Executive Board. The Chairman is excluded from managing this department. The members must be informed of any changes. | |
c) | The Executive Board determines the guidelines for the Association's work, taking into account the resolutions of the General Meeting. | |
d) | The Board decides by a majority of the votes present at the Board meeting. In the event of a tie, the Chairman has the casting vote. With regard to the convening of a meeting, rules of procedure and the recording of minutes by members of the Board of Directors, § 10 applies accordingly. | |
e) | The day-to-day business is carried out by a managing director, who is appointed by the Board of Directors by a majority of the votes present. The managing director shall be bound by the instructions of the Executive Board within the meaning of § 26 BGB. | |
§ 13 Dissolution of the Association | a) | The Association shall be dissolved by a General Meeting convened specifically for this purpose. A majority of three quarters of the votes of the Association members is required for dissolution. |
b) | If the Association is dissolved or abolished or if its previous purpose ceases to exist, the Association's assets shall be transferred to Hochschule RheinMain, which shall use them directly and exclusively for non-profit purposes within the scope of Wiesbaden Business School's academic activities. |
